Merchant Terms of Service

1. Who can use the Merchant Service

You must be at least 18 years old and legally able to enter into contracts. If you are using the Merchant Service on behalf of a business, you represent that you are authorized to bind that business to these Terms.

2. Your account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use.

3. Starter Rolls and physical stickers

The Starter Roll includes 200 unique QR stickers for $35. Prices, availability, and shipping times may change. Physical goods are non-returnable once opened; if a roll arrives damaged or defective, contact us and we'll make it right.

You are responsible for how and where you apply stickers, including compliance with any third-party surface, venue, or property rules.

4. Dashboard access and billing

The merchant dashboard, including unlimited product mapping, the real-time ledger, Excel export, and batch tools, is included with any Starter Roll purchase at no additional charge. There is no monthly subscription and no recurring fee.

Starter Roll purchases are one-time charges billed through Stripe at checkout. Except where required by law, fees for shipped physical goods are non-refundable once the roll is opened. We may change Starter Roll pricing with reasonable notice; any change applies to future orders only.

5. Your content and customer-facing tags

You retain ownership of the product information, images, notes, and other content you upload ("Merchant Content"). You grant Stickylink a non-exclusive, worldwide license to host, store, display, and transmit Merchant Content solely to provide the Merchant Service, including rendering the public tag pages when customers scan a sticker.

You are responsible for the accuracy of prices, stock counts, and product details shown on customer-facing tags. Stickylink is not liable for pricing or inventory errors displayed to your customers.

6. Acceptable use

You agree not to use the Merchant Service to:

• Sell or promote illegal goods or services.
• Publish content that infringes intellectual property, is defamatory, or violates privacy.
• Attempt to scrape, reverse engineer, or overload the Merchant Service.
• Use the Merchant Service to send spam or unsolicited communications.
• Impersonate another business or misrepresent product provenance.
• Store passwords, government IDs, financial account numbers, health records, or other sensitive customer information in a tag or product record.

We may suspend or terminate accounts that violate these rules.

7. Relationship to your POS and payments

Stickylink for Small Business is not a point-of-sale system and does not process customer payments. You are solely responsible for collecting payment through your own POS (such as Square, Shopify, or cash), for issuing receipts, and for handling refunds, chargebacks, taxes, and any regulatory requirements that apply to your sales.

8. Ledger and Excel export

The ledger and Excel export are provided as a convenience to help you track sales you've marked in the dashboard. They are not an accounting or tax product. You are responsible for reconciling the ledger with your POS and books, and for the accuracy of any records you submit for tax or regulatory purposes.

9. Availability and changes

We work to keep the Merchant Service available, but we do not guarantee uninterrupted access. Features may change, be added, or be removed over time.

10. Termination

You may stop using the Merchant Service at any time. We may suspend or terminate your account if you materially breach these Terms, if required by law, or if continued service creates a security or fraud risk. Upon termination, your right to access the merchant dashboard ends, but these Terms' surviving provisions (such as disclaimers, limitations of liability, and indemnity) continue to apply.

11. Disclaimers

The Merchant Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Merchant Service will be error-free, uninterrupted, or that any data, including ledger data, will be preserved without loss.

12. Limitation of liability

To the maximum extent permitted by law, Stickylink and its team will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost inventory, or lost sales arising out of or related to your use of the Merchant Service. Our total liability for any claim relating to the Merchant Service will not exceed the greater of $50 or the amount you paid to Stickylink for the Merchant Service in the 12 months before the claim.

13. Indemnification

You agree to defend and indemnify Stickylink from any claim arising out of Merchant Content you publish, products you sell using the Merchant Service, your violation of these Terms, or your violation of any law or third-party right.

14. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in New York for any dispute that is not required to be resolved through informal contact with us first.

15. Changes to these Terms

We may update these Terms as the merchant product evolves. Material changes will be reflected on this page with a new "last updated" date. Continued use of the Merchant Service after a change means you accept the updated Terms.
